PHH advises Heilmoor Neydharting GmbH on the acquisition of an Upper Austrian company

PHH Rechtsanwält:innen provided legal advice to Heilmoor Neydharting GmbH on the acquisition of an Upper Austrian company, including its over 30,000-year-old “Heilmoor” (healing moor).
Research has shown that flowers, herbs, grasses, and other plants have been deposited in the Neydharting therapeutic moor for at least 30,000 years. This moor was formed from glacial lakes during the Ice Age, which over time developed into flat moors due to intensive vegetation growth. A unique variety of pre-Alpine vegetation accumulated in the Neydharting basin. This Upper Austrian healing moor is the oldest known healing moor bath in the world.
Founded in 1971, the company now produces a wide range of products with healing and soothing properties from Neydharting’s unique “moor bouquets.” In order to ensure the company’s continued existence for the next generation, a suitable successor who understands the values of nature and tradition was sought – and finally found. The new owner family behind Heilmoor Neydharting GmbH is known for its production of environmentally friendly cosmetics and naturopathic health products. The company already has a long-standing business relationship with the representative of the owner family, Dr. Samuel JS Yang. Under the new ownership, the company will continue to produce its natural products based on the Neydharting healing mud and further expand its product portfolio.
Heilmoor Neydharting GmbH chose a consulting team from PHH led by lead expert Philip Rosenauer (partner) to handle the takeover process.
Rosenauer says: “I am delighted that we were able to successfully support our client in this very complex transaction, which involved a wide range of legal issues, through contract negotiations and various approval procedures. This once again confirms our broad expertise in M&A consulting.”
In addition to Rosenauer, the PHH transaction team included Julia Fritz (partner, real estate law), Stefanie Werinos (partner, public law), Nicolaus Mels-Colloredo (partner, employment law), and Nikolaus Pfau (associate, corporate/M&A).
The seller, Heilmoorbad Neydharting GmbH, was advised by Oberhammer Rechtsanwälte, led by Christoph Fritsch (lead), Fritz Ecker, and Lydia Kerbler.
