Firmadigital.at – From Virtual Incorporation to Commercial Register Entry

Vienna, February 2025 – PHH Rechtsanwält:innen, in collaboration with Infinity Vertigo, has launched www.firmadigital.at, Austria’s first AI-powered digital platform for incorporating a GmbH (limited liability company) via a law firm.

Until now, only single-person companies could be fully incorporated online via the Austrian Business Service Portal (USP). With www.firmadigital.at, multi-founder and multi-shareholder GmbHs can now also be established entirely online. “The idea for FirmaDigital was born last summer. While certain steps of the incorporation process were already available digitally, there was no true one-stop shop. Yet, this is exactly what many businesses—whether startups or SMEs—are looking for,” says Philip Rosenauer, a corporate law and startup specialist. Together with experienced programmer and AI expert Felix Häusler, Rosenauer deconstructed the GmbH formation process and translated it into a fully digital experience.

100% Location-Independent
From the initial contact and ID verification to drafting the articles of association, notarial certification, share capital deposit, and final registration in the commercial register—founders can now complete the entire GmbH incorporation process remotely, whether they reside in Austria or abroad. The AI-powered platform processes user inputs, offers tailored recommendations, and generates the company’s articles of association accordingly.

Seamless, Legally Secure, and Efficient
The platform is built on a meticulously curated dataset, incorporating the latest model incorporation documents, legal texts, case law, academic commentary, and best-practice templates derived from years of experience. Philip Rosenauer and his legal team act as the human-in-the-loop, reviewing and approving the AI-generated incorporation documents to ensure full legal compliance. They oversee the process and, following the notarial certification—also possible virtually—handle the application for GmbH registration in the commercial register.
For businesses, this means significant time and cost savings, with the entire GmbH formation process now manageable online, from anywhere.

Successfully Tested – Now Ready for Use
The platform has already been successfully tested in a pilot project and is now ready for launch. From mid-February, businesses will be able to incorporate their GmbH 100% virtually using AI-driven automation. Initially, FirmaDigital will support GmbH formations, with expansion to FlexCos already in development. Future updates will introduce additional use cases, such as employment contracts and other legal documents for founders.
